ACCEPTANCE OF TERMS

Information on how to enter the competition and prizes form part of these Terms. |

ELIGIBILITY
| 2.1 |
Entry is open to all Australian and New Zealand residents, who are 18 years or over and have a valid passport. |
| 2.2 |
EziBuy Group employees, and employees of any company associated with the competition, together with their immediate family members, are ineligible to enter. | |

3. |
ENTRY
| 3.1 |
The competition commences on 00:01 on 04 May 2010 and concludes at 23:59 on 23 May 2010. |
| 3.2 |
We cannot accept responsibility for any late, lost or misdirected entries. |
| 3.3 |
To enter, you must visit www.ezibuy.co.nz/ultimategiveaway and complete the online competition entry form linked from that page. |
| 3.4 |
For every unique friend you forward the competition details on to using the form linked from the website mentioned above you will receive five (5) additional entries into the prize draw. |
| 3.5 |
You may enter the competition once only, but you may refer as many friends as you wish in order to obtain additional entries into the draw.

PRIZES AND WINNING
| 4.1 |
The prize draw will take place at 10:00 on 27 May 2010 at Oxygen Interactive Marketing Level 1, 16 Palmer Parade, Cremorne VIC 3121 Australia.

| 4.2 |
There are two (2) major prizes to be won each valued at a maximum value of $4148 AUD. Each prize includes return economy airfares for two people to Sydney Australia from a major city in the country the winner resides (only applicable where the winner is residing outside of Sydney) and a P&O Pacific Magic 10 Night Pacific Cruise for two saying in a twin share, inside room. Winner and travelling companion must take their prize on one of the departure dates of the Cruise - valid up until January 2011. |

There are ten (10) second tier prizes to be won, with each winner receiving an EziBuy $500 gift card in the currency of the country in which they reside. |

There are one hundred (100) third tier prizes to be won, with each winner receiving an EziBuy $50 gift card in the currency of the country in which they reside. |
| 4.5 |
The top three entrants who forward the competition details to the most people will receive free standard delivery for EziBuy merchandise ordered by them to one nominated address in Australia or New Zealand for one year starting 1 July 2010. Maximum of two orders per calendar month. Excludes large delivery items and gift cards. Cannot be combined with any other offer or promotion. Total maximum prize value is $238 AUD / $180 NZD. |

Total prize pool (excluding free delivery) is valued at $19010 AUD/ $20280 NZD. |
| 4.7 |
Prize values are GST inclusive and the recommended retail value as provided by suppliers, correct at time of printing. |
| 4.8 |
The drawn winners will be the first - 112th valid and unique entries drawn from a combined database of entrants from Australia and New Zealand. Once a winner has been drawn for a prize, they will not be eligible to win any further prizes in this competition (excluding SA residents who are entitled to win more than one major prize within Australia). |
| 4.9 |
Prizes are not transferable, nor redeemable for cash. The winner of a prize is responsible for any tax or other costs arising in relation to, or associated with, the prize. |
| 4.10 |
The winners will be notified by phone and mail within 2 days from the prize draw, using the details provided upon entry. Their initial and surname will be published in the public notice section of The Australian or New Zealand Herald newspaper on 01 June 2010 and on our website www.ezibuy.co.nz/ultimategiveaway. |
| 4.11 |
The judge's decision is final and no correspondence will be entered into. |
| 4.12 |
We may refuse to award a prize to any person who has, in our view, acted in a fraudulent manner; or breached these Terms. |
| 4.13 |
All other expenses arising in relation to, or otherwise associated with the major prize are, unless expressly stated, the responsibility of the prizewinner. This includes spending money, meals, accommodation incidentals (such as mini bar, room services, telephone calls etc), travel to/from departure points, transfers, travel insurance and all other incidental costs. Each major prize winner is responsible for arranging all other related travel requirements, and the prize is taken entirely at their own risk. |

PUBLICITY
| 5.1 |
Each winner agrees to the use of their name and photograph/s for publicity purposes, without compensation, and agrees that we will own copyright in any such photograph/s and in all material incorporating the photograph/s. |

6. |
GENERAL
| 6.1 |
If for any reason this promotion is not capable of running as planned, we reserve the right, in our sole discretion and at any time, to replace or amend these Terms or to modify, suspend, terminate or cancel the competition, subject to written directions from State Regulatory bodies. |
| 6.2 |
You authorise us to collect and hold personal information, to be used to conduct the competition and for future promotional purposes by us and our promotional partners. You understand that you have a right of access to, and may request correction of, personal information held by us about you, at any time. Failure to provide the personal information requested on the entry form will result in the entry being invalid. |
| 6.3 |
The information submitted by existing EziBuy customers in this promotion will be used for the purposes of drawing winners only. If you wish to update any of the details attached to your EziBuy customer account, please login to your account at our website or call 0508 500 500 (from within NZ) or 1800 148 148 (from within Australia). |
| 6.4 |
Should a prize remain unclaimed after 3 months of the original prize draw, an unclaimed prize draw will take place at 11:00 (AEST) on 31 August 2010 at Oxygen Interactive Marketing Level 1, 16 Palmer Parade, Cremorne VIC 3121 Australia. Any unclaimed prize winner of a prize valued over $250 will have initial and name will be place in The Australian or New Zealand Herald Newspaper on 7 September 2010. |

DEFINED TERMS AND INTERPRETATION
| 7.1 |
In these Terms, the following words have the following special meanings:

"Terms" means these competition terms and conditions (as amended from time to time); |
| b. |
"We", "our", "us" means EziBuy Limited; and
|
| c. |
"You" means a person entering the competition. |
| 7.2 |
For convenience, these Terms have been grouped under different headings, but the headings do not affect the meaning of these Terms. |
| 7.3 |
These Terms will be interpreted in accordance with, and governed by, the laws of New Zealand and Australia. |
